The terms on which PLC Solutions supplies its engineering and software services to business customers.
Business-to-business terms. These terms apply to engagements where both parties are acting in the course of a trade, business or profession. They are not intended for consumers. If you are an individual acting for purposes wholly outside your trade or profession, please contact us before engaging our services so we can provide appropriate consumer terms.
These terms (“the Terms”) govern the supply of services by PLC Solutions (“we”, “us”, “the Supplier”) to you (“the Customer”). They apply to every engagement unless we have signed a separate written agreement that expressly replaces them.
By placing an order, accepting a quote, or allowing us to begin work, you accept these Terms on behalf of yourself and any organisation you represent. If any provision is held unenforceable, the rest remain in force.
We provide industrial automation and software services including, without limitation:
The specific scope, deliverables and timetable for any engagement will be set out in the relevant quote, statement of work or project agreement.
Quotes are valid for 30 days from their date of issue unless stated otherwise. A quote is an invitation to treat, not a binding offer, and becomes binding only when you place an order that we accept under clause 4.
Where we provide an estimate rather than a fixed price, the final charges will be invoiced on a time-and-materials basis and may vary from the estimate. We will notify you in writing if it becomes apparent that an estimate will be exceeded by more than 10%.
An order placed by you (whether by purchase order, email confirmation or signed acceptance of a quote) is an offer to buy services on these Terms. We accept the order when we confirm acceptance in writing or, in the absence of such confirmation, by starting work on the services.
We may decline an order at our discretion before acceptance. Once accepted, the order and these Terms form the contract between us (“the Contract”).
Unless a fixed price is quoted, services are charged at our current rates as set out in the relevant quote or statement of work.
Invoices are payable within 30 days of the invoice date in pounds sterling (£), by bank transfer to the account shown on the invoice, unless otherwise stated.
We may charge interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998 and the Late Payment of Commercial Debts Regulations 2002, together with compensation and reasonable recovery costs. Interest accrues at the statutory rate (8% above the Bank of England base rate) from the due date until payment in full.
If you dispute an invoice you must notify us in writing within 7 days of receipt; otherwise it is deemed accepted. undisputed amounts remain payable on their original terms.
We will perform the services with reasonable skill and care, in accordance with the scope set out in the Contract. Any dates or timescales are estimates given in good faith and are not guaranteed, unless expressly stated as a firm deadline.
Where the services include on-site commissioning or a software deliverable, we will notify you when the work is ready for acceptance testing. You have 10 business days from that notice to test the work and either accept it or notify us in writing of specific defects. If you do not respond within 10 business days, the work is deemed accepted.
We will remedy any defect notified within the 10-day period at no additional charge. Once accepted (or deemed accepted), further changes or enhancements are chargeable as new work.
We retain ownership of all intellectual property we created before the Contract or that we reuse across engagements, including our standard libraries, scripts, templates, methodologies, the Your Energy Dashboard platform and pre-existing frameworks (“Background IP”).
Subject to full payment of all invoices, we assign to you the intellectual property in deliverables created specifically for you under the Contract (“Foreground IP”), to the extent it is separable from our Background IP.
You grant us a non-exclusive, royalty-free licence to use your Background IP (such as your existing PLC programs, drawings and process data) to the extent necessary to perform the services.
Where we incorporate third-party or open-source software into a deliverable, that software remains licensed under its original terms and we will identify it in our handover documentation.
Each party will keep confidential any non-public information it receives from the other in connection with the Contract, including process data, drawings, pricing and business plans. Confidential information will be used only to perform the Contract and will be disclosed only to personnel and processors who need it.
This obligation does not apply to information that is or becomes public knowledge other than through breach, was known before disclosure, is independently developed, or is required to be disclosed by law or regulator.
Nothing in these Terms limits either party’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.
Subject to that, our total liability under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is capped at the total fees paid by you to us under the Contract.
We are not liable for any indirect or consequential loss, loss of profit, loss of production, loss of contracts, loss of goodwill or loss of data (other than where caused by our negligence or breach of the data protection obligations in our Privacy Policy).
Either party may terminate the Contract immediately by written notice if the other:
You may terminate ongoing services for convenience by giving us 30 days’ written notice, in which case you will pay for all services performed up to the termination date plus reasonable wind-down costs.
On termination, clauses 7 (IP), 8 (confidentiality), 9 (liability), 12 (governing law) and any other clauses that by their nature should survive will continue in force.
Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, epidemic or pandemic, strikes, industrial action, war, terrorism, civil unrest, fire, flood, government action or failure of utilities or telecommunications. The affected party will notify the other promptly and use reasonable efforts to resume performance as soon as possible.
The Contract and these Terms are governed by the law of England and Wales.
The parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with the Contract, except that either party may seek interim or injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
